Terms of service.

"Service" means the Hassab application, website, and related services. "Customer" means the company that subscribes to the Service. "Authorised User" means an employee, contractor, or representative of the Customer permitted to use the Service. "Subscription" means the paid right to use the Service for a defined period. "Customer Data" means data the Customer or its Authorised Users upload to or generate within the Service.

Hassab provides cloud-based accounting, bill capture, bank reconciliation, collections, and reporting tools tailored to Oman VAT. We will use commercially reasonable efforts to make the Service available 24/7, with planned maintenance windows announced in advance. We may change features, add new ones, or retire ones that very few customers use, and will give reasonable notice for any change that materially reduces functionality.

You are responsible for keeping account credentials confidential and for any activity under your account. You will not (a) reverse-engineer the Service, (b) use it to send unsolicited commercial messages, (c) upload malicious code, (d) attempt to bypass tenant isolation or rate limits, (e) use it for unlawful purposes, or (f) resell access without our written consent.

New customers may complete a 30-day pilot at no cost. The pilot is governed by these terms, except that fees do not apply during the pilot period. At the end of the pilot you choose whether to continue under a paid subscription. There is no auto-charge.

Subscription fees are stated in OMR and billed annually unless agreed otherwise. Invoices are due on receipt and considered paid on cleared funds. Late payment may suspend service after 14 days' notice. Subscriptions renew automatically for successive 12-month terms unless either party gives 30 days' written notice before the end of the current term. Fees may be revised at renewal with 60 days' notice.

The Service and all materials provided by us (software, documentation, training, and templates) are owned by RAMZ or its licensors and are licensed, not sold. You receive a non-exclusive, non-transferable, revocable right to use the Service during the subscription term. You retain all rights in your Customer Data.

You grant us a limited licence to host, process, and display Customer Data for the purpose of operating the Service for you. We process Customer Data in accordance with our privacy policy and any data-processing agreement we have signed with you. We will not access Customer Data except as needed to provide support, investigate suspected abuse, comply with law, or improve the Service in aggregated, de-identified form.

Each party will protect the other's confidential information with the same care it uses for its own, and at least with reasonable care, and will use it only to perform under these terms. Confidential information does not include information that is public, received from a third party without restriction, or independently developed.

The Service uses third-party sub-processors and may integrate with third-party services. We are responsible for our sub-processors' compliance with our DPA. We are not responsible for the availability or content of third-party services that you choose to integrate.

We warrant that the Service will substantially conform to its documentation. Except for that warranty, the Service is provided "as is" and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by Omani law.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total aggregate liability under these terms is limited to the fees paid by the Customer in the 12 months preceding the event giving rise to the claim. Nothing in this section limits liability for fraud, gross negligence, or amounts that cannot be limited under Omani law.

Each party will defend the other against third-party claims arising from its breach of these terms or its violation of law, and will pay any final award or agreed settlement, subject to prompt notice and reasonable cooperation.

We may suspend the Service for material breach (including non-payment), security incidents, or to comply with law, with reasonable notice where practicable. Either party may terminate for material breach not cured within 30 days. On termination you may export Customer Data for 30 days; after that we will destroy it under our retention policy except records we are legally required to keep.

Neither party is liable for delay or failure caused by events beyond reasonable control (natural disasters, war, civil unrest, internet outages affecting major regions, government action). The affected party will give prompt notice and resume performance as soon as practicable.

These terms are governed by the laws of the Sultanate of Oman. The competent courts of Muscat have exclusive jurisdiction over any dispute, except that we may seek injunctive relief in any competent court to protect our intellectual property or confidential information.

We may revise these terms with at least 30 days' notice (in-app and by email). Continued use after the effective date constitutes acceptance. If you do not accept revised terms, you may terminate the subscription before the effective date and receive a pro-rata refund of unused prepaid fees.
